Late Fee Finance Charge of 1.5% will be assessed on total unpaid balance. Late fee assessment accrued monthly. Applicant hereby authorizes Plant World, Inc. to review the information contained in this application and authorizes our bank and trade references to release any requested information to Plant World, Inc. for the purpose of granting credit to this establishment. This agreement shall constitute the entire Agreement of the parties with regard to the terms of the sale payment. Plant World, Inc. shall not be bound by additional terms set forth in any orders, purchase orders or communications, whether written or oral, unless those terms are specifically accepted by Plant World, Inc. in writing. Shipment of any products by Plant World, Inc. shall not constitute acceptance of any additional terms, it being the intent of the parties that the terms of this Agreement shall supercede any such conflicting provisions or terms. Applicant is requesting a Credit Line from Plant World, Inc. that has its principal place of business in Albuquerque, New Mexico. Applicant agrees that this Agreement shall be governed by and construed in accordance with the laws of the State of New Mexico. Applicant irrevocably submit in any suit, action or proceeding arising out of or relating to this Agreement, to the jurisdiction of the Second Judicial District Court located in Albuquerque, New Mexico, and Applicant waives any and all objections to jurisdiction and venue and agree that venue for any such suit, action or proceeding shall lie solely in Bernalillo County, New Mexico. Applicant and Plant World, Inc. each waive any right to a trial jury on any claim, demand, action, cause of action or counterclaim arising under, or in any way related to this Agreement and under any theory of law or equity, whether now existing or hereafter arising. A copy of most recent financial statement is required.*
